JOB SUMMARY:

The Acquisitions Legal Counsel Associate Manager will provide legal support for mergers, acquisitions, divestitures, and strategic investment transactions. The role will support legal due diligence, identify legal and commercial risks, assist in transaction negotiations, and draft, review, and negotiate acquisition-related agreements and documentation.

The role will work closely with M&A deal attorneys, legal integration teams, procurement, contracting teams, and other internal stakeholders across different geographies.

KEY RESPONSIBILITIES:

• Provide legal support for M&A and strategic investment transactions, including legal due diligence, risk identification, mitigation planning, transaction negotiations, and review of transactional documents.

• Support M&A deal attorneys, Procurement V&A, Contracting, Legal Integration teams, and other legal stakeholders across different geographies.

• Draft, review, and document terms and conditions of agreements and other legal documents related to target and acquired companies.

• Review data room materials, including executed client, alliance, supplier, and commercial agreements.

• Coordinate with M&A deal attorneys, Legal Integration Managers, and Procurement V&A Leads on transaction-related legal matters.

• Provide guidance on legal and commercial issues and liaise directly with internal stakeholders and deal teams.

• Maintain contract and subcontract compliance in accordance with company policies, procedures, and applicable laws.

• Develop checklists, process documents, and standard procedures for pre- and post-acquisition legal support.

• Train and guide team members on M&A legal processes and documentation requirements.

• Support smaller engagements independently and contribute to large and complex engagements as part of a broader team.

QUALIFICATIONS:

• Bachelor’s degree in Law.

• Minimum 8 years of experience in a law firm and/or as in-house counsel.

• Experience in coordinating teams or working independently as an individual contributor.

• Strong experience in M&A transactions and legal due diligence.

• Strong knowledge of general corporate practices, commercial contracting, subcontracting practices, and applicable regulations.

• Demonstrated ability to draft and review contracts and other legal documentation to a professional standard.

• Strong analytical, problem-solving, organizational, and time-management skills.

• Strong attention to detail, sound judgment, flexibility, and responsiveness.

• Ability to work effectively with senior executives, legal professionals, and cross-functional stakeholders.

• Experience working across different cultures, geographies, and global teams.

• Strong written and verbal English communication skills.

WORK REQUIREMENTS:

• Willingness to work in an onsite/hybrid setup in Mandaluyong.

• Willingness to work on a shifting schedule.

• Travel may be required depending on business requirements.

• Applicants must currently be in the Philippines and have the legal right to live and work in the country.
