Contracting Counsel – Associate Manager

Location: Mandaluyong, Philippines
Work Setup: Onsite / Hybrid

Job Overview

We are looking for a Contracting Counsel – Associate Manager to review, draft, negotiate, and close a wide range of technology and commercial agreements in a fast-paced corporate environment.

The role will provide legal and commercial guidance on transactions involving technology, consulting, systems integration, outsourcing, SaaS, cloud, licensing, data, automation, and related services.

Key Responsibilities

Review, draft, negotiate, and close various commercial and technology agreements.
Handle agreements including MSAs, outsourcing agreements, SOWs, SLAs, licensing, SaaS, data transfer, RFPs, cloud, blockchain, security, and systems integration agreements.
Structure and negotiate client transactions from legal and business perspectives.
Advise business leaders and executives on legal, commercial, and risk-management matters.
Partner with senior legal professionals and business stakeholders on complex negotiations.
Stay updated on industry, legal, and regulatory developments affecting transactions.
Develop subject-matter expertise and advise other legal professionals.
Contribute to internal legal guidelines, toolkits, knowledge resources, and process improvements.
Support and implement Legal Group initiatives.
Apply technology-enabled and business-focused contracting practices.

Required Qualifications

Must be currently practicing law in the Philippines.
Minimum 4 years of relevant experience in digital, consulting, systems integration, and/or outsourcing environments.
Experience in a law firm or fast-paced corporate legal/transaction group.
Minimum 2 years of experience negotiating Intellectual Property and Data Privacy matters preferred.
Strong negotiation skills with the ability to develop practical solutions and alternatives.
Experience drafting and negotiating technology-based agreements.
Ability to manage a high volume of transactions independently.
Understanding of contracting and risk issues, particularly IP-related matters in technology and outsourcing transactions.
Basic understanding of Finance, Accounting, Marketing, and Management.
Strong executive presence and stakeholder-management skills.
Excellent written and verbal communication skills in English and Filipino.

Eligibility

Applicants must:

Currently be based in the Philippines.
Have the legal right to live and work in the Philippines.
Be willing to work onsite/hybrid in Mandaluyong on a shifting schedule.
