JOB TITLE: Technology Transactions Counsel - Associate Manager

Work Setup: Onsite / Hybrid - Mandaluyong

THE OPPORTUNITY:

We are hiring a Technology Transactions Counsel - Associate Manager to join a leading Global Tech Company in Mandaluyong.

This is an exciting opportunity for a Philippines-licensed lawyer who thrives in a fast-paced environment and wants to work on complex, high-value technology transactions.

Open to candidates currently in the Philippines with the right to live and work in the country.

WHAT YOU WILL DO:

Review, draft, and negotiate a wide range of commercial agreements including master services agreements, outsourcing agreements, statements of work, service level agreements, licensing and SaaS agreements, data transfer agreements, RFPs, and agreements involving cloud, security, blockchain, automation, systems integration, and agile development

Partner with senior Contracting Legal Professionals to support complex deals and deal structures

Act as a trusted advisor to business and leadership on legal and commercial risks

Develop contracting strategy with senior counsels and business stakeholders before client negotiations

Stay current on industry and business developments and apply insights to improve transactional practices

Build subject matter expertise in key areas and mentor other team members

Contribute to internal guidelines, toolkits, and knowledge capital

Support and drive Legal Group initiatives and embody the seven Contracting attributes: pathfinder, architect, business-minded, nonconformist, inspired, relevant, and technology-enabled

QUALIFICATIONS:

Must be currently practicing law in the Philippines

EXPERIENCE AND SKILLS:

At least 4 years of experience in digital, consulting, systems integration, or outsourcing, with increasing responsibility in a law firm or fast-paced corporate legal or transactions group

At least 2 years of experience negotiating Intellectual Property and Data Privacy issues is preferred

Proven track record as an accomplished negotiator with principle-based negotiation skills and ability to propose practical solutions

Able to manage a high volume of transactions independently with minimal supervision

Strong experience in drafting and negotiating technology-based agreements

Solid understanding of Finance, Accounting, Marketing, and Management principles

Strong executive presence and ability to engage with senior stakeholders

Good understanding of contracting and risk issues, particularly IP, in digital and outsourcing transactions

Excellent communication skills in both English and Filipino, written and oral
