Acquisitions Legal Counsel Associate Manager

Job Summary

The Acquisitions Legal Counsel Associate Manager will provide legal support for mergers, acquisitions, divestitures, and strategic investment transactions. The role will support legal due diligence, identify legal risks and mitigation strategies, and assist with drafting, reviewing, and negotiating transaction documents in collaboration with legal and non-legal stakeholders.

The role requires the ability to independently handle moderately complex assignments, work with minimal guidance, collaborate with global teams, and support smaller engagements or workstreams within large and complex transactions.

Key Responsibilities

Provide legal support for M&A and strategic investment transactions, including legal due diligence, risk identification, mitigation planning, and review of transactional documents.
Support M&A deal attorneys and key stakeholders across Procurement, Contracting, Legal Integration, and other Legal teams.
Draft and review terms and conditions, agreements, and other legal documents relating to target and acquired companies.
Review data room materials, including executed client, alliance, and supplier agreements.
Collaborate with M&A deal attorneys, Legal Integration Managers, and Procurement V&A Leads on transaction-related legal matters.
Liaise directly with internal stakeholders and deal teams on legal and commercial issues.
Maintain contract and subcontract compliance in accordance with company policies, procedures, and applicable laws.
Develop checklists, process documents, and other resources for pre- and post-acquisition legal support.
Train and guide team members on relevant processes and legal support activities.
Identify opportunities to improve legal processes and internal client service.
Support smaller engagements independently and contribute to larger, complex engagements.

Qualifications

Bachelor’s degree in Law.
Minimum 8 years of experience in a law firm and/or as in-house counsel.
Experience in coordinating teamwork or working independently as an individual contributor.
Strong experience in M&A practice, including M&A transactions and legal due diligence.
Knowledge of general corporate practices, commercial contracting regulations, and subcontracting practices.
Strong contract drafting and review skills.
Strong analytical, problem-solving, organizational, and time-management skills.
Detail-oriented with sound judgment and strong follow-through.
Ability to work effectively with senior stakeholders, executives, and cross-functional teams.
Ability to work across different cultures and geographies.
Strong English communication skills.
Willingness to travel when required.

Work Requirements

Willing to work in an onsite/hybrid setup in Mandaluyong.
Willing to work on a shifting schedule.
Applicants must currently be in the Philippines and have the legal right to live and work in the country.
Fluency in English and/or other languages may be required depending on the supported geography.
