Acquisitions Legal Counsel – Associate Manager

Location: Mandaluyong, Philippines

About the Role

We are seeking an Acquisitions Legal Counsel – Associate Manager to provide legal support for mergers, acquisitions, divestitures, and strategic investment transactions.

The role will support legal due diligence, transaction documentation, risk identification and mitigation, contract review and drafting, and collaboration with internal legal and business stakeholders throughout the M&A lifecycle.

Key Responsibilities

Provide legal support for M&A and strategic investment transactions.
Support legal due diligence exercises, identify legal risks, and assist with mitigation plans.
Support M&A deal attorneys in transaction negotiations and review of transactional documents.
Collaborate with Procurement, Contracting, Legal Integration, and other global Legal teams.
Draft and review terms, conditions, agreements, and other transaction-related documents.
Review data-room materials, including client, alliance, and supplier agreements of target companies.
Liaise with internal stakeholders and deal teams on legal and commercial matters.
Maintain contract and subcontract compliance in accordance with company policies and applicable laws.
Develop checklists and process documentation for pre- and post-acquisition legal support.
Train team members and contribute to process improvement initiatives.
Support smaller engagements independently and contribute to large, complex engagements.

Required Qualifications

Bachelor’s degree in Law.
Minimum 8 years of experience in a law firm and/or in-house legal environment.
Experience coordinating teams or working independently as an individual contributor.
Strong experience in M&A transactions and legal due diligence.
Knowledge of general corporate practices, commercial contracting, and subcontracting.
Demonstrated ability to draft and review contracts and transaction documents.
Strong time management, organization, prioritization, and problem-solving skills.
Excellent attention to detail, sound judgment, and flexibility.
Strong stakeholder management and communication skills.
Fluency in English.

Ideal Candidate

The ideal candidate will have strong M&A legal experience, including due diligence, transaction documentation, contract drafting/review, and coordination with cross-functional and international stakeholders.

Work Requirements

Willingness to work onsite/hybrid in Mandaluyong.
Willingness to work in a shifting schedule.
Travel may be required.
Candidates must be currently based in the Philippines and have the legal right to live and work in the country.
