Job Title: Contracting Counsel Associate Manager

Location: Mandaluyong, Philippines

Job Summary:
We are looking for a Contracting Counsel Associate Manager to support complex commercial and technology transactions in a fast-paced corporate legal environment. The role involves reviewing, drafting, negotiating, and closing various technology and commercial agreements while advising business stakeholders on legal, contractual, and risk management matters.

Key Responsibilities:
• Review, draft, negotiate, and close a wide range of commercial and technology agreements.
• Handle Master Services Agreements, Outsourcing Agreements, Statements of Work, Service Level Agreements, Licensing Agreements, SaaS Agreements, and Data Transfer Agreements.
• Support agreements related to cloud, blockchain security, automation, systems integration, and agile development.
• Structure and negotiate client transactions while balancing legal and business considerations.
• Advise executives and business stakeholders on legal, contractual, and risk management issues.
• Partner with senior contracting professionals and internal business teams during negotiations.
• Identify and assess legal and commercial risks associated with transactions.
• Stay updated on developments affecting the company, clients, and relevant industries.
• Develop subject matter expertise in areas relevant to Legal and business operations.
• Contribute to internal legal guidelines, toolkits, templates, and knowledge resources.
• Support and implement Legal Group initiatives.
• Manage a high volume of transactions with a high degree of autonomy.
• Provide practical and commercially focused legal solutions.
• Apply strong negotiation strategies and present alternatives and proposed solutions.

Required Qualifications:
• Must be a practicing lawyer in the Philippines.
• Minimum 4 years of experience in digital, consulting, systems integration, and/or outsourcing areas within a law firm or corporate legal/transaction group.
• Experience negotiating and drafting technology-based agreements.
• Experience with Intellectual Property and Data Privacy negotiations preferred, with a minimum of 2 years preferred.
• Strong understanding of contracting and risk issues, particularly IP-related matters.
• Knowledge of legal considerations applicable to digital, consulting, systems integration, and outsourcing transactions.
• Understanding of basic Finance, Accounting, Marketing, and Management principles.
• Strong negotiation, analytical, and problem-solving skills.
• Excellent written and verbal communication skills in English and Filipino.
• Strong executive presence and stakeholder management skills.
• Ability to work independently and manage multiple transactions efficiently.

Eligibility:
• Applicants must currently be in the Philippines.
• Candidates must already have the legal right to live and work in the Philippines.
• Willingness to work onsite/hybrid in Mandaluyong with a shifting schedule.
