Contracting Counsel Associate Manager

Location: Mandaluyong, Philippines

Job Summary

We are looking for a Contracting Counsel Associate Manager to review, draft, negotiate, and close various contractual agreements in a fast-paced corporate environment. The role will provide legal and commercial advice on transactions while working closely with senior legal professionals and internal business stakeholders.

The role may involve master services agreements, outsourcing agreements, statements of work, service level agreements, licensing agreements, SaaS agreements, data transfer agreements, RFPs, and agreements related to cloud, blockchain security, automation, systems integration, and agile development.

Key Responsibilities

Structure, negotiate, and close client transactions from legal and business perspectives with a high degree of autonomy.
Advise company executives and business stakeholders on legal, commercial, and risk management matters.
Strategize with senior contracting legal professionals and internal business teams before client negotiations.
Monitor legal, industry, and business developments and incorporate relevant information into contracting practices.
Develop subject matter expertise in areas that support the Legal Group and business.
Advise other legal professionals on relevant legal and contracting matters.
Develop internal guidelines, toolkits, and knowledge resources on legal and business issues.
Support and implement Legal Group initiatives.
Apply technology-enabled and business-focused contracting practices.
Manage a high volume of transactions while maintaining quality, compliance, and turnaround times.

Educational Requirement

Must be practicing law in the Philippines.

Required Skills & Experience

Minimum 4 years of experience in digital, consulting, systems integration, and/or outsourcing environments with increasing levels of responsibility.
Experience in a law firm or fast-paced corporate legal/transaction group in a relevant industry.
Minimum 2 years of experience negotiating Intellectual Property and Data Privacy matters is preferred.
Strong negotiation skills with the ability to present alternatives and practical solutions.
Experience independently managing a large volume of transactions.
Experience drafting and negotiating technology-based agreements.
Good understanding of Finance, Accounting, Marketing, and Management principles.
Strong executive presence and stakeholder management skills.
Good understanding of contracting and risk issues, including Intellectual Property, Digital, Consulting, Systems Integration, and Outsourcing transactions.
Excellent written and verbal communication skills in English and Filipino.
